Terms of Service

1. Agreement to These Terms

These Terms of Service ("Terms") form a binding agreement between you and Pinpoint Labs Inc. (operating as "Pinpoint," "we," "us," or "our") and govern your access to and use of the Pinpoint bowling league management platform, including our website, applications, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Definitions

"Account" means a user account registered with Pinpoint.
"Center" (or "Centre") means a bowling alley or venue that uses Pinpoint to manage events held at its location.
"Center Admin" means an authorized representative of a Center.
"Content" means any text, data, images, scores, statistics, comments, or other materials submitted to or generated through the Service.
"Event" means a league, tournament, or other organized bowling activity managed through the Service.
"League Admin" means a user who manages a league, team, or Event within the Service.
"Parent" means a parent or legal guardian who registers a child into an Event using their own Account.
"Player" means a participant in a league, team, or Event.
"User," "you," "your" means any person who accesses or uses the Service.

3. Eligibility

You may use the Service only if you can form a legally binding contract with us under applicable law. By using the Service, you represent that:

You are at least the age of majority in your jurisdiction, or you are at least 13 years old and have obtained verifiable parental or guardian consent (or the equivalent minimum age under local law, e.g., 16 in certain EU member states under GDPR Art. 8);
You have not been previously suspended or removed from the Service;
Your use of the Service complies with all applicable laws and regulations.

If you are under the applicable digital consent age, you must not register an account directly. Your parent or legal guardian may register you into Events through their own account, as described in Section 8.

4. Account Registration and Authentication

4.1 Creating an Account

To use most features of the Service, you must create an Account. Pinpoint supports authentication through the following identity providers:

Google
Facebook (Meta)
Apple
Discord

We may add additional identity providers in the future. By signing in with one of these providers, you authorize that provider to share certain account information with us as described in our Privacy Policy. You remain bound by the terms and privacy practices of your chosen identity provider.

4.2 Account Security

You are responsible for maintaining the confidentiality of your Account and for all activities that occur under it. Notify us immediately at support@pinpointbowl.com if you suspect unauthorized access. We are not liable for losses arising from unauthorized use that you fail to report promptly.

4.3 One Person, One Account

Each Account is for a single individual. You may not share your Account credentials, transfer your Account, or create accounts using false information.

4.4 Electronic Communications

By creating an Account, you consent to receive service-related communications from us electronically (email, SMS where applicable, in-app notifications). Standard carrier rates may apply to SMS messages. You can manage your communication preferences in your Account settings, except for communications strictly necessary for the Service (e.g., security alerts, billing notices, legal notifications).

5. The Service and User Roles

5.1 What Pinpoint Provides

Pinpoint is a software platform that helps bowling Centers, Leagues, and Players organize, manage, and participate in bowling activities. Features may include scheduling, scoring, statistics, communications, event registration, and roster management. Available features depend on your role and any applicable subscription plan.

5.2 Pinpoint Is a Software Provider, Not a League Operator

Pinpoint provides software tools only. We do not own, operate, organize, supervise, sanction, judge, or administer any league, tournament, Event, team, or bowling activity. All such activities are owned and operated by Centers, League Admins, and other third parties.

We make no representation about and accept no responsibility for:

Rules, formats, schedules, scoring decisions, prize structures, or payouts of any Event;
The conduct, qualifications, or honesty of any Center, League Admin, Player, or other User;
The condition, safety, or accessibility of any physical venue;
Disputes between Users, including disputes about scores, standings, dues, prize money, or eligibility;
Insurance, sanctioning, certifications, or governing-body affiliation.

If you have a complaint about an Event or another User, you must address it directly with the relevant Center or League Admin. Pinpoint is not a party to those relationships and has no obligation to mediate or resolve them.

5.3 User Roles

Pinpoint supports several role types, each with distinct rights and responsibilities:

Center Admin. Authorized representative of a bowling Center. Manages the Center's profile, hosts Events at its location, and may oversee League Admins operating at the Center.
League Admin. Manages one or more Events; sets schedules, rosters, scoring, and prize structures (subject to Section 9).
Player. Participates in Events; submits scores, communicates with teammates, pays dues if applicable.
Parent. Registers and manages a child's participation in Events through the Parent's own Account, as described in Section 8.

Some Users may hold more than one role.

5.4 Service Changes and Availability

We may modify, suspend, or discontinue features of the Service at any time. Where the change materially and adversely affects you, we will provide reasonable notice. We strive for high availability but do not guarantee uninterrupted access; planned maintenance, emergencies, and circumstances beyond our reasonable control may cause downtime.

6. Center Authority and Center Registration

If you register an Account on behalf of a Center, organization, or other entity, you represent and warrant that:

You have the legal authority to enter into these Terms on behalf of that entity;
The entity agrees to be bound by these Terms and our Privacy Policy;
You will keep the entity's information accurate and up to date.

In this case, "you" and "your" in these Terms refer to both you personally and the entity you represent. The entity is jointly and severally liable for compliance with these Terms.

7. Acceptable Use

You agree not to:

Use the Service in violation of any applicable law or regulation;
Upload, post, or transmit any Content that is unlawful, harassing, defamatory, obscene, hateful, or that infringes any person's rights;
Impersonate any person or misrepresent your affiliation with any person or entity;
Attempt to access another user's account, data, or any non-public area of the Service without authorization;
Interfere with or disrupt the Service, servers, or networks, including by introducing malware, conducting denial-of-service attacks, or scraping data without permission;
Use any robot, spider, scraper, or other automated means to access the Service except via documented APIs and within the limits we set;
Use the Service for unsolicited commercial communications (spam) or to harvest personal information about other Users;
Reverse-engineer, decompile, or attempt to derive the source code of the Service, except to the extent permitted by applicable law;
Resell, sublicense, or commercially exploit the Service without our prior written consent;
Use the Service to compete with us or to build a competing product;
Use the Service in connection with any gambling, wagering, betting, or unlawful gaming activity, whether online or offline (see Section 9);
Bypass any technical limitations, access controls, or rate limits;
Conduct security or penetration testing without our prior written consent.

We reserve the right to investigate and take appropriate action against violations, including suspension or termination of accounts and reporting to law enforcement.

8. Guest Registrations: Adults, Seniors, and Children

Pinpoint allows Customers (Centers, League Admins, Tournament Organizers) and Parents to add Guest entries for people who participate in an Event without creating their own Pinpoint Account. Guests can include adult bowlers (such as a senior who prefers not to manage an Account), other family members, or children registered by a Parent.

8.1 General Guest Registration

When you add a Guest, you represent and warrant that:

The information you provide about the Guest is accurate and limited to what is needed to register them for the relevant Event;
If you provide a Guest's email address, the Guest has consented to be contacted at that address for purposes related to the Event;
You are authorized to add the Guest to the Event (for example, the Guest has agreed to participate, or you are their legal representative).

Pinpoint will not automatically subscribe Guests to marketing emails. Event Organizers may, at their discretion, ask Guests to present identification matching their registered name on arrival at an Event.

8.2 Children Registered by a Parent

If the Guest is a child under the digital consent age in their jurisdiction (under 13 in Canada and the U.S., or up to 16 in some EU member states under GDPR Art. 8), the registration must be made by a Parent or legal guardian through the Parent's own Account, and the Parent represents and warrants that:

They are the child's parent or legal guardian and have the legal authority to provide consent on the child's behalf;
They consent to our collection and use of the child's information solely to register and administer the child's participation in the relevant Event(s);
They will provide only the minimum information necessary;
They may review, correct, or delete the child's information at any time through their Account or by contacting privacy@pinpointbowl.com.

The child will not have direct access to the Service through this registration. If the Parent later wishes to grant the child their own Account, the Parent must provide verifiable parental consent at that time and the child must meet the minimum age in their jurisdiction.

The Parent can withdraw consent at any time. On withdrawal, we will remove the child from active Events (subject to any Event-level rules administered by the relevant League Admin) and delete or anonymize the child's personal information within a reasonable period.

9. Prizes, Awards, and Gaming

Bowling leagues and tournaments often involve prize structures, dues, payouts, and trophies. You are responsible for ensuring that any prize or payout structure complies with all applicable laws in your jurisdiction, including but not limited to:

The Canadian Criminal Code, Part VII (Disorderly Houses, Gaming and Betting), including the prohibitions on betting and book-making;
Provincial and territorial gaming, lottery, and raffle regulations (e.g., Ontario's Gaming Control Act, 1992, the AGCO and similar provincial regulators), including any required licensing for prize draws, raffles, or pooled funds;
For US-based Centers and Leagues: the Unlawful Internet Gambling Enforcement Act of 2006 and applicable state law;
For EU/UK Users: applicable national gaming and consumer protection law.

To use Pinpoint for any Event involving cash prizes, dues pooling, or similar arrangements, the responsible Center or League Admin agrees that:

All prizes and awards offered to participants are determined and disclosed in advance of the Event, and their values are not contingent on the number of participants or the amount of fees paid;
Outcomes are determined predominantly by the accumulated bowling performance of participants;
The Service is not used for sports-betting-style wagering, point-spread betting, or fantasy contests dependent on the performance of individual athletes in single real-world events.

Pinpoint does not act as a gaming operator, lottery licensee, or escrow agent. We do not hold prize funds in trust. If your Event uses Pinpoint to track or facilitate dues collection or prize distribution, you remain solely responsible for compliance with all applicable financial, tax, and regulatory obligations.

10. Physical Activities and Offline Events

Bowling and related activities involve inherent risks of physical injury or property damage. You participate in any Event, league, practice, or other physical activity entirely at your own risk.

To the maximum extent permitted by law, Pinpoint does not assume responsibility for:

Injury, illness, or death arising from participation in any Event or related physical activity;
The condition, accessibility, or safety of any Center or other physical venue;
The conduct of Centers, League Admins, Players, spectators, or other third parties at offline Events;
Lost, stolen, or damaged personal property at any Event;
Travel to or from any Event.

Centers, League Admins, and Event organizers are responsible for venue safety, insurance, sanctioning, and supervision of their Events. Nothing in this Section limits liability that cannot be excluded by law (including liability for death or personal injury caused by negligence, where such limitation is prohibited).

11. User Content

11.1 Your Content

You retain ownership of any Content you submit to the Service. You are solely responsible for your Content and for ensuring that you have all necessary rights, permissions, and consents (including from any individuals identifiable in photos or videos) to submit it.

11.2 License to Pinpoint

By submitting Content, you grant Pinpoint a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, modify (e.g., for formatting), and distribute that Content solely as necessary to operate, provide, and improve the Service. This license terminates when you delete the Content or your Account, except to the extent the Content has been shared with others, has been incorporated into Event records that other Users continue to access, or is required to be retained by law.

11.3 Aggregate and Anonymized Data

We may generate de-identified, aggregated data from Content (e.g., league-wide scoring averages) and use it for analytics, service improvement, and similar purposes. This data does not identify you and is not personal information.

11.4 Removal

We may remove Content that we believe, in our reasonable discretion, violates these Terms or applicable law, or is otherwise objectionable. We are not obligated to monitor Content but may do so.

11.5 Feedback

If you send us feedback, suggestions, ideas, or bug reports about the Service ("Feedback"), you grant Pinpoint a perpetual, worldwide, royalty-free, irrevocable, sublicensable license to use, reproduce, modify, and incorporate that Feedback into the Service or any other product, without compensation or attribution. Feedback is provided on a non-confidential basis.

12. League Administrators and Centers as Independent Controllers

If you are a Center Admin or League Admin, you may have access to information about other members of your Center or league (such as names, contact details, and statistics) for the purpose of running it. You agree to:

Use member information only for legitimate Center or league administration purposes;
Comply with all applicable privacy laws (including GDPR and PIPEDA where relevant) in your handling of member information;
Not disclose member information to third parties without authorization or legal basis;
Cooperate with us in responding to data subject requests.

You acknowledge that, with respect to information you collect or use beyond what Pinpoint requires for the Service, you may act as an independent data controller under applicable privacy laws and bear independent responsibility for compliance.

13. Intellectual Property

The Service, including its software, design, text, graphics, trademarks, and other materials (excluding User Content), is owned by Pinpoint or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. No other rights are granted.

The names "Pinpoint," our logos, and related marks are trademarks of Pinpoint Labs Inc.. You may not use them without our prior written consent.

14. Copyright and Other IP Complaints

We respect the intellectual property rights of others and expect Users to do the same. If you believe Content on the Service infringes your copyright, trademark, or other intellectual property rights, please send a written notice to support@pinpointbowl.com with:

A description of the work or right you claim has been infringed;
The specific URL or location of the allegedly infringing Content;
Your contact information (name, address, email, phone);
A statement that you have a good-faith belief that the use is not authorized by the rights holder, its agent, or the law;
A statement, under penalty of perjury (where applicable), that the information in your notice is accurate and that you are the rights holder or authorized to act on its behalf;
Your physical or electronic signature.

For US-based notices, this also satisfies the U.S. Digital Millennium Copyright Act (DMCA) procedure under 17 U.S.C. §512(c)(3); our designated DMCA agent contact is the same address.

We may remove or disable access to allegedly infringing Content and may terminate accounts of repeat infringers. Submitting a knowingly false notice may result in liability under applicable law.

15. Third-Party Services and Integrations

The Service relies on, and may integrate with, third-party services (including the authentication providers listed in Section 4 and the subprocessors listed in our Privacy Policy). Your use of any third-party service is governed by that service's own terms and privacy policy. We are not responsible for the acts, omissions, content, or practices of third parties.

16. Fees and Payment

16.1 Free for Players

The Service is free to use for individual Users participating in leagues, tournaments, and Events as Players. We do not charge Players for creating Accounts, joining teams, registering for Events, or accessing core Player features.

16.2 Fees for League, Tournament, and Center Organizers

League Admins, Center Admins, and tournament organizers (collectively, "Organizers") who use Pinpoint to manage their leagues or Events may be charged fees as presented at the time of sign-up or checkout:

Ongoing leagues. Organizers managing ongoing leagues may pay a recurring fee, billed at the interval shown at sign-up.
Events and tournaments. Organizers running individual Events or tournaments are charged at the time of checkout when they create or activate the Event.

Organizers may, at their own discretion, incorporate Pinpoint's fees into the dues, registration, or weekly fees they charge their own participants. Any such arrangement is between the Organizer and their participants — Pinpoint is not a party to it, does not control how Organizers structure their pricing, and does not collect those participant payments on the Organizer's behalf unless expressly stated otherwise in writing.

16.3 General Payment Terms

Where fees apply:

Fees are exclusive of applicable taxes (HST, GST, VAT, sales tax, etc.), which you are responsible for paying.
Recurring subscriptions automatically renew unless cancelled before the renewal date. You may cancel through your Account settings or by emailing support@pinpointbowl.com.
Payments are non-refundable except where required by law (including, where applicable, mandatory consumer cancellation rights under EU/UK or Canadian consumer protection law).
We may change prices on at least 30 days' advance notice, sent by email or in-app. Price changes apply only to renewal periods after the notice period; you may cancel before the new price takes effect.
Payments are processed by Stripe, a third-party payment processor. Pinpoint does not directly store full payment card numbers. Stripe handles payment data under its own terms and privacy policy. We are not responsible for Stripe's processing errors but will reasonably assist in resolving them.

16.4 Subscriptions Purchased Through App Stores

If you purchase a subscription through the Apple App Store, Google Play, or another app distribution platform, your purchase is also subject to that platform's terms (including its terms for billing, automatic renewal, refunds, and dispute resolution). For app-store purchases:

Pinpoint does not directly process your payment or hold your payment credentials;
Cancellations and refunds are generally handled through the app store's interface and policies, not by Pinpoint;
Subscription renewals follow the app store's auto-renewal rules, which you can manage in your app store account settings.

You remain responsible for any internet, mobile data, or carrier charges incurred while using the Service.

17. Termination

17.1 By You

You may stop using the Service and delete your Account at any time through your account settings or by contacting support@pinpointbowl.com.

17.2 By Us

We may suspend or terminate your Account if:

You materially violate these Terms;
Your continued access creates a legal, security, or financial risk to us, other Users, or third parties;
We are required to do so by law or by a government authority;
We discontinue the Service in its entirety;
Your Account is inactive for 24 consecutive months. We will send notice to your registered email address before deregistering an inactive Account, giving you a reasonable opportunity to keep it active.

Where reasonable and lawful, we will provide notice and an opportunity to cure. We will not terminate Accounts arbitrarily, but we reserve the right to take immediate action where necessary to protect the Service or its Users.

17.3 Effect of Termination

Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination (including IP, disclaimers, limitation of liability, indemnification, IP complaints, gaming/prizes, physical activities, and dispute resolution) will survive.

18. Disclaimers

Except as expressly provided in these Terms or required by applicable law, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation. We do not warrant that the Service will be error-free, secure, or always available.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. Nothing in these Terms limits any non-excludable rights you have under applicable consumer protection law.

19. Limitation of Liability

To the maximum extent permitted by law:

Pinpoint and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunities, arising from or relating to your use of the Service, even if we have been advised of the possibility of such damages.
Our total aggregate liability for any claim arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you paid us for the Service in the 12 months preceding the claim, or (b) CAD $100.

Nothing in this Section limits liability that cannot be limited under applicable law (including, where applicable, gross negligence, willful misconduct, fraud, death or personal injury caused by negligence, or non-excludable consumer rights under EU/UK or Canadian consumer protection law).

20. Indemnification

You agree to indemnify and hold harmless Pinpoint and its affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your violation of these Terms; (b) your violation of any law or third-party right; (c) your Content; (d) your use of the Service; (e) any Event you organize, host, or participate in; or (f) any prize, award, or payout dispute. This obligation applies to the maximum extent permitted by law and does not apply where you are a consumer in a jurisdiction whose law prohibits or limits such indemnities.

21. Changes to These Terms

We may update these Terms from time to time. The "Last Updated" date will reflect the most recent revision. For material changes, we will provide reasonable notice (e.g., in-app or by email) before they take effect. Your continued use of the Service after the effective date constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service.

22. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The courts located in Toronto, Ontario will have exclusive jurisdiction over any dispute, except that:

Either party may seek injunctive relief in any court of competent jurisdiction;
Where you are a consumer based in the EEA, UK, or another jurisdiction granting non-derogable consumer rights, you may have the right to bring claims in your country of residence and to benefit from the protections of your local law.

23. Dispute Resolution

Before filing any formal claim, you agree to contact us at support@pinpointbowl.com and attempt in good faith to resolve the matter informally for at least 30 days.

If the dispute is not resolved within that period, either party may pursue the matter through the courts identified in Section 22. Nothing in this Section limits your right to bring a complaint to a regulatory authority (such as the Office of the Privacy Commissioner of Canada or your local data protection authority) where applicable.

24. Miscellaneous

Entire Agreement. These Terms and the Privacy Policy form the entire agreement between you and us regarding the Service and supersede any prior agreements.
Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
No Waiver. Our failure to enforce any right or provision does not waive that right or provision.
Assignment. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
Force Majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.
Notices. We may send notices to you by email or through the Service. You may send notices to us at support@pinpointbowl.com.
Language. These Terms are drafted in English. Any translations are provided for convenience; the English version controls in case of conflict, except where local law requires otherwise.
Section Headings. Section headings are for reference only and do not affect the interpretation of these Terms.
